Terms & Conditions

Last updated: 28/07/2026

These Terms & Conditions govern the website www.byteshifted.com, owned and operated by ByteShifted Technologies ("ByteShifted," "we," "us," or "our"), and the products and services we sell, including the subscription services offered through our microsites (such as our Email, WordPress and Hosting sites). Sections 3 to 7 together form our Billing & Subscription Policy and apply to all subscription-based services. By using our website and services, you agree to these terms. Please read them carefully.

1. Services & Products

ByteShifted provides IT consulting, IT outsourcing, software development, hosting, and related technology services. Subscription-based services include Email Hosting, WordPress Hosting, Cloud Services, Domain-Based Hosting Services, and Bundled Hosting Packages. Subscription services are provided on a recurring billing basis unless otherwise specified.

2. Payment Terms

Payment terms for project work are outlined in individual service agreements. Fees are determined based on the scope of services provided. Subscription-based products are billed in accordance with sections 3 to 7 of these Terms.

3. Subscriptions & Billing

This section explains how subscriptions are created, activated, and renewed. By purchasing or using a subscription service, you authorize ByteShifted and its payment processor to charge your selected payment method for recurring subscription fees.

3.1 Subscription statuses

Your subscription may be assigned one of the following statuses:

StatusDescription
PendingSubscription has been created but the initial invoice has not yet been paid.
ActiveSubscription is paid and fully operational.
TrialSubscription is within an active trial period.
Past DueA payment has failed but services remain active while payment retries occur.
SuspendedServices have been disabled due to non-payment.
Cancellation ScheduledSubscription has been scheduled to end at the conclusion of the current billing period.
CanceledSubscription has ended and services are no longer available.

3.2 Subscription creation

Self-service purchases

When a customer completes checkout:

  • Payment is collected through our payment processor.
  • The subscription is created immediately.
  • Services are activated once payment is successfully received.
  • Provisioning of hosting resources begins automatically.

Invoice-based subscriptions

In certain situations, ByteShifted may create subscriptions manually and issue an invoice. For invoice-based subscriptions:

  • Payment must be received before services become active.
  • Invoices are due within 30 days unless otherwise stated.
  • Reminder emails may be sent before invoice expiration.
  • Hosting resources may be provisioned before payment, however services remain inactive until the first invoice is paid.

3.3 Service activation

Services become available when payment is successfully completed or a valid trial period begins. Services may remain inactive until the first invoice has been paid. Depending on the purchased package, provisioning may include:

  • Email hosting services
  • WordPress hosting services
  • Cloud services
  • Domain configuration and activation
  • Bundled service deployments

3.4 Automatic renewals

Unless canceled, subscriptions automatically renew at the end of each billing cycle. It is your responsibility to:

  • Maintain a valid payment method.
  • Ensure sufficient funds are available.
  • Keep billing information current.

Renewal notices may be sent before your next billing date.

4. Payment Failures, Suspension & Reactivation

4.1 Payment failures and retry attempts

If an automatic renewal payment cannot be successfully processed, our payment processor will make multiple attempts to collect payment using the payment method on file. Under our current billing process:

  • Up to four (4) payment attempts are made over approximately two (2) weeks.
  • During the first three failed payment attempts, the subscription will be marked as Past Due.
  • Services generally remain active while payment retries are occurring.
  • Payment failure notifications may be sent during this period.

The exact timing of retry attempts is determined by our payment processor and may vary.

4.2 Suspension for non-payment

If payment remains unpaid after the fourth failed collection attempt:

  • The subscription will be placed into Suspended status.
  • Hosting services may be stopped.
  • Email services may be disabled.
  • Associated domains may be deactivated.
  • Customer access to affected services may be restricted.

Suspension generally occurs approximately two (2) weeks after the initial failed payment, depending on payment retry timing. Data is not automatically deleted when a subscription is suspended. During suspension:

  • Services remain unavailable until outstanding balances are paid.
  • New invoices may continue to be generated in accordance with the subscription's billing cycle.
  • Suspension does not cancel the subscription.

4.3 Outstanding balances and combined invoicing

Customers remain responsible for all unpaid subscription charges. If a renewal invoice remains unpaid and a subsequent billing cycle begins:

  • Any outstanding unpaid balance may be added to the newly generated renewal invoice.
  • Previous unpaid invoices may be consolidated into a single outstanding balance.
  • The customer must pay the full combined amount before services can be reactivated.

Partial payment of only the most recent invoice may not be sufficient to restore service where previous charges remain outstanding. ByteShifted reserves the right to require payment of all outstanding amounts before restoring suspended services.

Important: Payment of a newly generated invoice does not automatically clear previous unpaid balances. All outstanding amounts associated with the subscription may be required before services are restored.

4.4 Reactivation after payment

To reactivate a suspended subscription, all outstanding invoices and balances must be paid in full and payment must be successfully processed and confirmed. Upon successful payment:

  • Subscription status returns to Active.
  • Domains may be reactivated.
  • Email services may be restored.
  • Hosting services may be restarted.

Services will be restored where technically possible. Service restoration may require a reasonable processing period.

5. Cancellation, Refunds & Data Retention

5.1 Customer-initiated cancellation

Customers may request cancellation of their subscription at any time through the customer portal or by contacting support where applicable. Unless otherwise specified:

  • Cancellation takes effect at the end of the current billing period.
  • Services remain active until the current paid billing period expires.
  • No future renewal charges will be applied after cancellation becomes effective.

Once a cancellation request has been submitted:

  • The subscription may be marked as Cancellation Scheduled.
  • Access to services continues until the subscription reaches its scheduled end date.
  • The subscription will automatically transition to Canceled status at the end of the billing period.

Cancellation does not entitle the customer to a refund for unused portions of a billing cycle unless otherwise required by law or approved by ByteShifted.

5.2 Cancellation for non-payment

Subscriptions that remain unpaid after suspension may be automatically canceled. For standard self-service subscriptions:

TimelineAction
Initial payment failureSubscription becomes Past Due
Approximately 2 weeks later (4th failed attempt)Subscription is Suspended
25 days after suspensionFirst cancellation warning notice
27 days after suspensionFinal cancellation warning notice
30 days after suspensionSubscription automatically canceled

In most cases, the total period from the first failed payment until cancellation is approximately forty-four (44) days. The exact timing may vary slightly depending on payment processor retry schedules and automated billing jobs.

For invoice-based subscriptions that have never received their initial payment, the non-payment period begins when the subscription is created, services may remain inactive until payment is received, and reminder notices may be issued during the invoice period. The following timeline generally applies:

TimelineAction
Day 0Subscription created
Day 25First cancellation warning
Day 27Final cancellation warning
Day 30Subscription canceled

5.3 Service restoration following cancellation

Cancellation of a subscription does not guarantee future restoration of services. Following cancellation:

  • Services remain inactive.
  • Domains may remain deactivated.
  • Hosting services may remain offline.
  • Email services may remain disabled.

Customers wishing to resume service after cancellation may be required to purchase a new subscription. ByteShifted does not guarantee the availability of previously canceled services, configurations, data, or resources.

5.4 Data retention following cancellation

Following cancellation, suspension, or termination:

  • Services will remain unavailable unless a new subscription is established.
  • ByteShifted may retain customer data for operational, recovery, legal, security, or administrative purposes.
  • Data retention is not guaranteed.
  • Customers are responsible for maintaining their own backups.

At the time of cancellation, ByteShifted does not automatically delete customer data. However, unless otherwise required by law or agreed in writing, ByteShifted reserves the right to permanently remove canceled account data at any future date without prior notice. Customers should assume that access to hosted files, databases, mailboxes, applications, and backups may be permanently lost following cancellation.

5.5 Refunds

Unless otherwise stated in writing:

  • Subscription fees are non-refundable.
  • Partial billing periods are not refunded.
  • Unused service time is not eligible for credit.
  • Cancellation does not relieve a customer of any outstanding payment obligations.

Any exception is granted solely at ByteShifted's discretion or where required by applicable law.

6. Plan Changes & Trials

6.1 Plan upgrades

Customers may upgrade eligible subscription plans subject to plan availability and pricing requirements. Upgrade requests are subject to the following conditions:

  • Upgrades are only available for Active or Trial subscriptions.
  • Upgrades must be to a higher-priced plan.
  • Upgrades to the same plan are not permitted.
  • Billing intervals generally cannot be changed during an upgrade request.
  • Upgrade eligibility is subject to the selected service and plan structure.

Where applicable, a prorated upgrade charge may be calculated based on the remaining time in the current billing cycle.

6.2 Upgrade payment processing

When an upgrade requires additional payment, a prorated invoice may be generated immediately and the requested upgrade will remain pending until payment is successfully completed. The customer's existing plan and service limits remain unchanged while payment is pending. If payment for an upgrade is successfully received:

  • The upgraded plan becomes active.
  • Updated service limits and features become available.
  • Confirmation of the upgrade may be provided to the customer.

If payment for an upgrade cannot be successfully processed, the upgrade will not be applied and no partial upgrade will occur. The customer's current subscription, plan limits, features, and pricing remain active and unchanged. Customers may be provided with an invoice or payment link to complete payment and retry the upgrade request.

6.3 Downgrades

Self-service downgrades may not be available for all services. Customers wishing to downgrade a subscription should contact support. Where approved:

  • Downgrades may take effect at the next billing cycle.
  • Existing service limits may remain in place until the downgrade becomes effective.
  • Downgrades do not automatically generate refunds or credits for unused service time unless otherwise stated.

6.4 Trial subscriptions

Certain services may include a free trial period. Trial terms, duration, and eligibility requirements will be displayed during signup or checkout. During an active trial:

  • Services may be used in accordance with the selected plan.
  • Trial subscriptions may be eligible for upgrades.
  • Standard service terms continue to apply.

Unless canceled before the trial period expires, the subscription may automatically convert to a paid subscription and standard recurring charges will begin using the payment method provided during signup.

7. Billing Notifications

ByteShifted may send account-related notifications, including welcome emails, invoice notifications, payment receipts, payment failure notices, renewal reminders, upgrade confirmations, cancellation notices, suspension notices, outstanding payment reminders, and cancellation warning notices.

Failure to receive an email does not waive payment obligations or prevent suspension or cancellation actions. Customers are responsible for maintaining accurate contact information.
